When looking at the Memorandum and Articles of the company you should be aware that the company was purchased 'off the shelf' (i.e. already set up earlier, and ready to be used by whoever purchased it). Originally it was given the name of LJE Ltd by the company formation agents. Its name was changed shortly afterwards to Burton Village Land Ltd. In addition the capital structure of the company was also changed then, and was changed again in 2012, so that the shares now have a nominal value of £250 each instead of £1 each, and the total nominal (or authorised) share capital is £100,000 of which £56,500 is currently allotted, as shown in the accounts. These changes were all made by special resolutions of general meetings, as required under our constitution, and passed by a 95% majority of shareholders present.
